Private Placement
We represented Haywood Securities Inc. in connection with a $23 million private placement of 18,500,000 ordinary shares sold at $1.25 per share which completed on February 9, 2009, and a $20 million private placement of 14,815,000 ordinary shares sold at $1.35 which completed on June 12, 2009. The financings were completed as private placements to accredited investors. The proceeds of the offerings were used to fund the completion, commissioning and commencement of gold production from CGA’s Masbate Gold Mine in the Philippines. The ordinary shares of CGA are listed for trading on the Toronto Stock Exchange and the Australian Securities Exchange.
