Real Estate Fund Formation and Initial Public Offering
We represented Churchill VII Real Estate Limited Partnership and Churchill VII Debenture Corp. in connection with an initial public offering of units at a price of $1,250 per unit. Each unit consisted of one limited partnership unit at a price of $250 per limited partnership unit and one Series A Debenture with a principal amount of $1,000. The financing was offering on a best efforts basis by a syndicate led by Dundee Securities Corporation. The offering raised gross proceeds of $13,351,250 with the final closing on June 24, 2009. Churchill VII is engaged in identifying income-producing investment properties in the real estate market across Canada. It has been established for the purpose of owning and operating a diversified portfolio of quality income-producing commercial, industrial and/or residential properties in strong growth markets across Canada.
