Private Placement
We represented PI Financial Corp. in connection with a private placement financing of subscription receipts, reverse take-over and listing on the TSX Venture Exchange of Philippine Metals Inc. The financing, which closed on March 25, 2010, was led by PI and raised gross proceeds of approximately $7.2 million. The proceeds of the offering will be used by Philippine Metals for exploration on its portfolio of properties in the Philippines.
