Seacliff Construction Corp.
Acquisition
We acted as counsel to Seacliff Construction Corp. in respect of its acquisition of Broda Construction Inc., a private, earth moving and heavy civil construction company based out of Prince Albert, Saskatchewan. The $49.5 million purchase price for the acquisition, which completed on December 1, 2009, was paid with a combination of cash, shares and assumed liabilities. Headquartered in Vancouver, Seacliff is one of the largest construction companies in Western Canada, providing general contracting construction services through Dominion Construction and electrical contracting services through Canem Systems. The shares of Seacliff are listed on the Toronto Stock Exchange.
